These Terms of Service ("Terms") govern your access to and use of the OccuHelp web application and related services (collectively, the "Service") provided by OccuHelp, LLC ("OccuHelp," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
OccuHelp provides a cloud-based occupational health management platform that includes tools for risk analysis, injury prevention, medical record keeping, and operational management. The Service is designed for use by occupational health professionals and organizations.
3. Accounts and Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
- Completing mandatory multi-factor authentication setup
We reserve the right to suspend or disable accounts that violate these Terms or pose a security risk.
4. Subscriptions and Payment
Access to the Service requires a paid subscription. By subscribing, you agree to:
- Pay all fees associated with your selected plan
- Provide accurate billing information
- Authorize recurring charges for your subscription period
Subscription terms, pricing, and billing cycles are as described at the time of purchase. We reserve the right to modify pricing with reasonable advance notice. Payment processing is handled by Stripe and is subject to their terms of service.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service to store or transmit malicious code
- Share account credentials with unauthorized individuals
- Use automated tools to scrape, crawl, or extract data from the Service
- Resell, sublicense, or redistribute access to the Service
6. Data Ownership and Privacy
You retain ownership of all data you input into the Service ("Your Data"). By using the Service, you grant OccuHelp a limited license to process Your Data solely for the purpose of providing and improving the Service.
Our collection and use of information is governed by our Privacy Policy. Where Your Data includes Protected Health Information (PHI), our obligations are further defined by the Business Associate Agreement executed between your organization and OccuHelp.
7. HIPAA and Regulatory Compliance
OccuHelp operates as a Business Associate under HIPAA when handling PHI. We maintain appropriate administrative, physical, and technical safeguards. However, you are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including HIPAA, within your organization.
8. Intellectual Property
The Service, including its design, features, code, documentation, and content (excluding Your Data), is the exclusive property of OccuHelp and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or trade names.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.
10. Limitation of Liability
To the maximum extent permitted by law, OccuHelp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to OccuHelp in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
OccuHelp does not provide medical advice. The Service is a management tool and does not replace professional medical judgment. You are responsible for all clinical decisions made using information from the Service.
12. Indemnification
You agree to indemnify and hold harmless OccuHelp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
Either party may terminate the subscription in accordance with the subscription agreement. We may suspend or terminate your access immediately if you violate these Terms or pose a risk to the security of the Service or other users.
Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow data export, after which it will be deleted in accordance with our data retention policies.
14. Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Minnesota.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Business Associate Agreement or subscription agreement, constitute the entire agreement between you and OccuHelp regarding the Service.
